LPA-CGR avocats represents CNH INDUSTRIAL in the Acquisition of SBMTP and TP GROUP
LPA-CGR avocats advised the CNH INDUSTRIAL group (formed through the merger of Fiat Industrial and the Chrysler group), the third largest player worldwide in capital goods and heavy machinery such as agricultural or military equipment, in its acquisition of certain assets from SBMTP and TP GROUP.
SBMTP and TP GROUP operated, respectively, Case brand dealerships and as a manufacturer of construction equipment.
On 28 December 2018, the Paris Commercial Court ordered the transfer of the assets of SBMTP and its parent company, TP GROUP, to the benefit of Case Europe, an entity of the CNH INDUSTRIAL group.
LPA-CGR avocats assisted and counseled the Dutch group in this acquisition, which also saved around 100 jobs.
The LPA-CGR avocats Restructuring team who advised the CNH INDUSTRIAL group was made up of Julie Cittadini (Partner) and Michelle Wong (Associate) on transactional aspects, Arnaud Molinier (Partner) on litigation aspects, Sophie Marinier (Counsel), Rudy Jourdan (Counsel) and Charlotte Sicsic (Associate) on employment law aspects.
The Restructuring team also drew on other expertise of the firm:
- Frédérique Chaillou (Partner) and Thibault Julia (Associate) on environmental aspects,
- Emmanuel Tricot (Partner) and Virginie Carvalho (Associate) on competition aspects, and
- Prudence Cadio (Partner) and Eva Naudon (Associate) on intellectual property aspects.
